Düsseldorf, 2021 June 17 – Boxine GmbH (“Boxine”), a leading international children’s digital media and entertainment company, today confirmed that it is in talks with 468 SPAC I SE (“468”), a so-called special-purpose acquisition company (SPAC) listed on the Frankfurt Stock Exchange (ISIN: LU2333563281; Frankfurt Stock Exchange: SPAC), to combine the two businesses. Through this business combination, Boxine would become publicly traded on the Frankfurt Stock Exchange. Talks with 468 are currently at an early stage and there can be no certainty a final binding agreement can be reached.

Boxine is the company behind tonies®, the innovative and award-winning children audio entertainment system for ages 3 years and up. The revolutionary system consists of the Toniebox player and audio figurines – called Tonies – that when placed on top of the Toniebox start playing audio content. This is enabled through the Tonie Cloud, the backbone of the digital platform, which connects the Toniebox player with the digital ecosystem and Tonies figurines. Currently, about 300 Tonies figurines are available, ranging from audio books to music, from knowledge to entertainment (incl. worldwide top licenses such as Frozen, Peppa Pig and Paw Patrol) as well as a digital audio library with additional content. The system offers kids a storytelling experience in a digital age in a way that stimulates their imagination. The fast-growing company was founded by Patric Faßbender and Marcus Stahl in 2013. Since launching the product in late 2016, Boxine has sold more than 2 million Tonieboxes and over 20 million Tonies. It is present in Germany, Austria, Switzerland, UK, Ireland and since recently in the US, with plans to internationalize further.

The business combination would provide Boxine with more financial flexibility to accelerate the growth opportunities on its strategic roadmap as well as continue to deliver an exceptional consumer experience. “468 would be an excellent partner to help us execute our strategic roadmap and deliver our vision even faster – especially around our further internationalization and new product development” says co-founder Marcus Stahl. In Spring 2021, Boxine announced that it had strengthened its management team and set up the innovation unit “Tonielab” in order to further accelerate its growth ambitions.

For 468’s shareholders, a merger would provide the opportunity to become investors in an award- winning, innovative and fast-growing technology business of scale operating in a multi-billion-dollar category within the children’s entertainment market, and to participate in Boxine’s significant future growth opportunities.
Exclusive negotiations between Boxine and 468 continue with the aim of entering into a binding business combination agreement in the coming weeks.
